Dismissing Director in Polish Company
Director in Polish Company may be dismissed at any time by the resolution of the shareholders.
Dismissal of the Polish Director shall not affect his rights under the employment relationship or another legal relationship applicable to his service as a member of the Polish Management Board. Management contracts may limit partners in their right to dismissal.
This shall not affect his rights under the employment relationship or another legal relationship applicable to his service as a member of the Management Board (employment contract needs to be terminated in accordance with the labor laws unless the contract is for the duration of the function by choice). The articles of association of Polish Company may include other provisions, in particular limit the right to dismiss the Director to situations where there exist significant reasons.
