Public Convertible Bonds for Carbo Funding
DKP represented Carbo Funding AG in establishing publicly listed convertible bonds for the value of approx. 140 mln PLN – i.e 30 MLN EUR.
DKP was advising and representing the Client with regards to Polish aspect of the transaction, incl.:
– Providing design of the structure on Polish side
– Establishing registered pledges on Polish Assets for the benefit of the future bondholders
– Preparation of Pledge Agreements and Pledge Administration Agreement
– Appointing Pledge Administrator who will be administering the pledges for the benefit of the bondholders
– Providing Feasibility Opinions for the potential bondholders
Reporting obligations of companies in Poland
Forfeiture of an enterprise in criminal proceedings
Legal title to the premises will become a condition for registration in the National Court Register – draft amendment
Lawsuit for dissolution of a limited liability company
